Cooperation between Russia and Other Emerging Markets
Russia’s inadvertent response to sanctions from the West became not only famous for ‘import substitution policies’ but also boosted development of trade with territories and countries other than the EU and the United States.
The Islamic Republic of Iran, alongside with BRICS and other associations, is the next cooperation opportunity for Russian businesses. This, in turn, is developing demand for businesses to understand the Russian legal system and process of incorporation of businesses and setting up their operations there.
We have been actively exploring the possibility of providing legal assistance and advisory support to Iranian, China, Brazilian, African, Indic businesses and initiatives reaching out to Russian and CIS markets. The approach we have developed means that cooperation can develop quickly and efficiently.
Due diligence of transactions with a foreign constituent
Our approach relies on providing access to leading experts in various fields and establishing direct contact between business organisations and the contractors they need, which means we can reduce significantly the price of services and improve their quality.
We make a careful selection of lawyers and legal advisers from our own team working in MGAP’s Moscow and London offices, as well as external specialists, such as auditors, accountants, business developers, patent specialists and ensure clear coordination between those working on different sections of a project when providing support to large and complex projects.
Our experience in this area is unique and includes projects in the resource spheres, major international real estate transactions, food industry and agriculture, high-tech and IT projects, as well as major international film and media projects with budgets exceeding US$ 120 million (Wanted, 9, Apollo 18).
Corporate and tax consulting
In general, work at the intersection of jurisdictions requires multi-level analysis of the corporate structure created for a project, as well as proper evaluation of the tax consequences of transactions performed. We have over 10 years of experience in this field and have developed and implemented over a hundred corporate models (from small and developing businesses to large companies with a cross-border constituent).
Working as part of MGAP, a team of international lawyers have undertaken internships and training in leading international law firms and have strong, established contacts with important specialists around the world.
Our experience in this area includes corporate structuring for major Russian holding companies working abroad, as well as developing procedures for entering the Russian market for a large number of foreign companies.
In this area, we provide the traditional range of services related to the development of schemes for financing transactions, lending, mortgage, leasing and other financial instruments, as well as services including, for example, asset tracing and debt recovery. Financial and law block includes support to claims in the courts of Russian jurisdiction as well as other international jurisdictions, including the ability to connect to litigation funds – uniquely in today’s Russian finance market – in order to finance judicial protection and debt recovery.
Our experience includes successful projects with Russian and foreign banks and financial institutions, including Russian ‘top ten’ banks, leading Russian and foreign retail chains, as well as successful financing of transactions for private and corporate air transport.
Intellectual property protection, content projects, media and technologies
One of MGAP’s main specialisms is our work with media, communications, content and high-tech projects, which fully meets the goals established by the guidelines of cooperation between emerging countries in the fields of science, technology and innovation. Over the years, we have consistently occupied first place in prestigious international rankings in this field (Top Legal 500: EMEA – leading firm, Chambers Europe – noted firm).
One of the main elements of any high-tech project is intellectual property, and the problem of its protection must be addressed in a highly professional manner, this applies equally to other content projects.
Our experience includes the first (winning) judgment in Russian judicial history regarding the download of music content through a mobile device, legal support to the sale of mobile technologies for leading mobile operators, intellectual property protection for a major aviation holding company as well as support to many large international projects in the field of music, film and television.
Creating a reliable infrastructure is the key to a successful project
Using all of our skills and experience listed above, we provide rapid and effective establishment of the necessary infrastructure for projects of any scale and complexity.
One of our main skills is the structuring, moderation and coordination of complex and multi-level professional communication in different cultural and language environments.
We also develop and run events aimed at studying markets, legal and regulatory innovation, personnel training and developing methodology for implementing projects in the international cooperation framework.
Our experience: the development of subject matter and content of round tables for St. Petersburg International Economic Forum, discussions and workshops on joint production of media projects at Moscow International Film Festival and other international forums, cooperation with the Ministry of Culture of the Russian Federation and the Federal Fund for Social and Economic Support of National Cinematography as part of programmes supporting Russian film producers and national film production, and conducting training workshops for entrepreneurs and investors in the field of Internet technologies, etc.
